These Terms of Service (Terms) govern your access to and use of Greenlight (the Service), provided by [Company legal name] ABN [ABN] (we, us, our). 1. The Service
Greenlight is a governance tool that helps organisations manage which AI tools staff may use with which kinds of data. It computes Green / Amber / Red guidance from the policy rules you configure, records decisions and attestations, and generates supporting documents. The Service provides operational governance tooling. It is not legal, financial or compliance advice, and its outputs do not create a lawyer-client relationship. You remain responsible for your organisation’s policies, decisions and obligations.
2. Accounts
Control-plane access (your governance team) requires an account; you are responsible for keeping credentials secure and for activity under your account. Staff use anonymous shared links and do not need accounts. You must provide accurate information and promptly update it.
3. Acceptable use
You agree not to: use the Service unlawfully; attempt to access data that is not yours; probe, scan or breach security or authentication; interfere with or disrupt the Service; resell or sublicense it without our written consent; or upload content that is unlawful or infringing. We may suspend access for conduct that threatens the Service or other customers.
4. Your data
You retain ownership of the data you put into the Service. You grant us a limited licence to host and process it to provide and improve the Service, as described in our Privacy Policy. We host customer data in Australia. You are responsible for ensuring you have the right to provide any data you input.
5. Subscriptions and fees
Paid plans are billed in advance per the pricing shown at sign-up or in your order, in Australian dollars and exclusive of GST unless stated. Fees are non-refundable except where required by law. We may change pricing on renewal with reasonable notice. Failure to pay may result in suspension.
6. Intellectual property
We and our licensors own the Service, including its software, design and content (excluding your data). These Terms grant you a non-exclusive, non-transferable right to use the Service during your subscription. The Greenlight and HOWLL AI names and marks are ours.
7. Third-party services
The Service integrates with third parties (for example payment, email, identity and AI providers). Their use is governed by their own terms, and we are not responsible for them.
8. Disclaimers
To the extent permitted by law, the Service is provided “as is” without warranties of any kind. We do not warrant that verdicts, documents or other outputs are accurate, complete or fit for a particular purpose; they depend on the rules and tool information you and others provide. Nothing in these Terms excludes rights you have under the Australian Consumer Law that cannot lawfully be excluded.
9. Limitation of liability
To the extent permitted by law, our total liability arising out of or in connection with the Service is limited to the fees you paid in the 12 months before the event giving rise to the claim, and we are not liable for indirect or consequential loss, loss of profits, or loss of data. Where liability cannot be excluded, it is limited (at our option) to re-supplying the Service or paying the cost of doing so.
10. Term and termination
You may stop using the Service at any time. Either party may terminate for material breach not remedied within 30 days of notice. On termination your right to use the Service ends; you may export your data for a reasonable period after which we may delete it.
11. Changes
We may update these Terms; material changes will be notified by email or in the Service. Continued use after changes take effect constitutes acceptance.
12. Governing law
